1 Who We Are

These Terms and Conditions (“Terms”) govern your use of the website www.startinuk.com (the “Site”) and the services offered on it by SKYDOME LTD, trading as StartinUK (“StartinUK”, “we”, “us”, or “our”), a company registered in England and Wales under company number 17314161.

2 Acceptance of These Terms

By accessing the Site, submitting an application, or purchasing a package, you confirm that you accept these Terms and our Privacy Policy. If you do not agree, you should not use the Site or our services.

You confirm that you are at least 18 years old and have the legal capacity to enter into a binding contract, including, where relevant, on behalf of the company being formed.

3 Our Role and Our Services

What we do. StartinUK is a business consultancy. We provide advisory, preparatory and coordination services to clients seeking to establish and operate a UK company. This includes assessing your requirements, identifying suitable service providers, preparing applications and supporting documentation, placing applications on your instruction, and managing the process through to completion.

What we do not do. We are not a company formation agent, a registered office provider, a bank, an accountancy firm or a tax adviser. We do not provide nominee director, nominee shareholder or trustee services, and we do not arrange such services through third parties.

How third-party services are provided. Services such as company incorporation, registered office and business address provision, mail handling, accounting and banking are supplied by independent third-party providers. Where you instruct us to do so, we place applications with these providers on your behalf and may pay their fees on your behalf, which are reflected in the package price. In all cases:

  • the resulting account, address or registration is held in your name or your company’s name, not ours;
  • the provider carries out its own customer due diligence and identity verification directly with you;
  • your ongoing contractual relationship for that service is with the provider, under their terms; and
  • the provider, not StartinUK, is responsible for the delivery and quality of that service.

Provider selection. We select providers that are registered with a UK anti-money-laundering supervisory authority and, where the service requires it, authorised by Companies House. We may receive a commission or referral fee from providers. This does not affect the fee you pay, and we will tell you if you ask.

Packages. Our services are offered as the following packages (or any successor packages we may introduce): Entry, Fundamental, Software Essentials, E-Commercial Booster, and Premium International. The exact features, deliverables and price of each package are as described on the Site at the time of purchase and may be updated from time to time.

4 Eligibility and Identity Verification

To use our services, you must provide accurate, complete and truthful information. Identity verification and anti-money-laundering (AML) / know-your-customer (KYC) checks are carried out by our regulated partners, directly with you, in line with applicable UK regulations. You will normally be asked for a valid passport and a proof of address issued within the last three months, and, if you are outside the UK, these may need to be certified.

We reserve the right to decline, delay or terminate the provision of services if a partner is unable to verify your identity, if we suspect fraud or unlawful activity, or if the proposed company name or business activity is unlawful, infringes third-party rights, or is otherwise unacceptable to us, to a provider or to Companies House.

5 Orders, Pricing and Payment

  • All prices shown on the Site are in GBP (£) and are exclusive of VAT unless stated otherwise.
  • Some packages are billed as a one-time fee; others include annual elements, as indicated on the pricing page at the time of purchase.
  • Payment is processed via [Stripe]. By submitting payment, you authorise us, or our payment processor, to charge the applicable fee to your chosen payment method.
  • We reserve the right to change our prices for future purchases or renewals, with reasonable notice.

6 Government Fees and Third-Party Costs

Some services involve fees payable to third parties, such as Companies House filing fees, registered office charges and address services. These may be included in our package price or charged separately, as described on the relevant package. We are not responsible for delays or rejections caused by Companies House, HMRC, banks, payment providers or other third parties, although we will assist you in resolving any issues where reasonably possible.

7 Refunds and Cancellations

Refunds are governed by our Refund Policy, which forms part of these Terms. In summary:

  • Before we place any applications or incur any third-party cost on your behalf, you may cancel for a full refund.
  • Third-party costs already paid to a provider on your behalf are non-refundable, as those providers do not refund them to us.
  • Our service fee is refundable in the circumstances set out in the Refund Policy.
  • A declined bank, payment provider or partner application is not in itself grounds for a refund of our service fee where the work has been performed.

8 Renewals and Cancellation

Where a package includes an annual element, such as a registered office or business address, that element is included for the first 12 months. Renewals after that period are arranged directly between you and the provider, under their terms and at their standard rates. We will attempt to notify you by email in advance of any renewal date so that the service does not lapse.

You can cancel any service you hold with us by emailing info@startinuk.com or, where available, through your customer account. Services held directly with a provider must be cancelled with that provider.

9 Customer Account

Where we provide you with a customer account to track your application status or access documents, you are responsible for keeping your login details confidential and for all activity that occurs under your account. Notify us immediately at info@startinuk.com if you suspect unauthorised use of your account.

10 Your Responsibilities

  • Provide accurate and up-to-date information for your application, including company name, director and shareholder details, and identity documents.
  • Ensure that the company name, business activity and any content you provide do not infringe the law or third-party rights.
  • Comply with your own ongoing legal obligations as a UK company director, including filing confirmation statements, accounts and tax returns, except to the extent we have expressly agreed in writing to arrange these on your behalf.
  • Complete your own applications where a provider requires you to do so — for example, bank and payment provider applications.
  • Keep us informed of any changes to your contact details so we can reach you about your company or account.

11 No Professional Advice

StartinUK provides business consultancy, coordination and administrative support services. We are not a law firm, an accountancy firm, a tax adviser or a regulated financial adviser, and nothing on the Site or provided as part of our services constitutes legal, tax, immigration or financial advice. Where a matter requires advice of that kind, we will tell you and, where we can, connect you with an appropriately qualified professional. Any advice you then receive is given by that professional, not by us.

12 Banking Support Disclaimer

Where we provide guidance or introductions to help you open a business bank account or payment account, this is provided as assistance only. You complete the application yourself. We do not guarantee that any bank or financial institution will approve your application, and the final decision rests entirely with that third party.

13 Intellectual Property

All content on the Site, including text, graphics, logos and design, is owned by or licensed to StartinUK and is protected by intellectual property laws. You may not copy, reproduce or republish any part of the Site without our prior written consent, other than for your own personal, non-commercial reference in connection with our services.

14 Limitation of Liability

To the fullest extent permitted by law, StartinUK shall not be liable for any indirect, incidental or consequential loss, including loss of profits, business or opportunity, arising from your use of the Site or our services.

We are not liable for the acts, omissions, service quality or decisions of third-party providers, banks or government bodies.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

15 Force Majeure

We will not be liable for any failure or delay in performing our obligations where this is caused by circumstances beyond our reasonable control, including but not limited to delays by Companies House, HMRC, banks, payment processors or other third parties.

16 Termination

We may suspend or terminate your access to our services or customer account if you breach these Terms, provide false information, or use our services for an unlawful purpose. You may terminate your use of ongoing services at any time, subject to Section 7 (Refunds and Cancellations) and Section 8 (Renewals and Cancellation) above.

17 Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above will reflect the most recent revision. Continued use of the Site or our services after changes take effect constitutes acceptance of the revised Terms.

18 Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection law in your country of residence gives you the right to bring proceedings elsewhere.
